1。hereby
该词意为by means of ， by reason of this， by this agreement，“特此”，“因此”，“兹”，“在此”。此词常用作法律、经贸文件、合同、协议书等正式文件的开头语，在合同条款中需特别强调时也可用，表示当事人借此合约，要宣示某种具有法律效力的“意思表示”，如保证、同意、放弃权利等，一般放于主语后，紧邻主语。如：The Company hereby covenants and warrants that…… 意为：By this agreement the Company covenants and warrants that……即：公司在此保证……再如：Both parties hereby agree that……意为：By this agreement both parties agree that……即：双方当事人在此同意……

2。Whereby
该词意为：by the agreement， by the following terms and conditions，“凭此协议”，“凭此条款”，常用于合同协议书中以引出合同当事人应承担的主要合同义务。如：
A sales contract refers to a contract whereby the seller transfers the ownership of an object to the buyer and the buyer pays the price for the object。 句中a contract whereby the seller transfers……意为：a contract by which the seller transfers……

姥姥家住在徐州的郊外，每年春节才能到姥姥家。姥姥对我可好啦！每次到姥姥家，姥姥都会给我做我喜欢吃的，给我买我喜欢的东西，特别是每年冬天姥姥都会在我睡觉前在我的被窝了放上一个热水袋。
前几天，我打扫卫生时在角落看到了姥姥与我的一张照片，上面有许多灰尘，我拿抹布擦去灰尘，看着姥姥那饱经沧桑的'脸，我不由地想起了姥姥与我的一件事：
有一次，我去姥姥家玩。那天中午，我生病了。得知我生病后，姥姥着急坏了，可家里除了我与姥姥其他人都不在，姥姥二话没说就背我到村子了的一家小诊所去。到了诊所，姥姥累得直不起腰来，但还是急忙把医生喊来，医生说必须打针，我忙说：“我不打，我最怕疼了！”姥姥抚摸着我的头，说：“别怕，我们山山最勇敢了。”我只好点点了头。因为我从小都对打针有副作用，所以一打完我就脸色苍白，倒在了椅子上。姥姥见了，着急得不得了，连忙端来了一杯水，把我慢慢扶起来，给我喝水。一杯水下肚，我好多了，就与姥姥回家了，而姥姥怕我又不行了，就执意要背我回去，我没办法只好让姥姥背。姥姥年纪大了，山路又不好走，所以在中途有好几次都险些摔倒，我很担心姥姥，就说：“姥姥，我好多了，我自己可以走。”姥姥气喘吁吁地说：“你病还没好呢！姥姥身体好得很，别担心。”就这样，姥姥背我走了一段路，眼看就要到家了。突然，姥姥被一块石头绊了一下，膀子被身旁的一块瓦片划了一下。我心疼地说：“姥姥，你没事吧？”姥姥笑笑，说：“没事，不就划了一下吗！”回家后，姥姥让我在床上躺会儿，自己去干活了。躺了一会儿，我想上厕所，出了房间后，我看见姥姥撩起袖子在洗衣服，刚想去与姥姥打个招呼，忽然看到姥姥的膀子上有一条长长的口子，还流了。猛地，我心中好酸……
我盼望着春节的来临，更盼望与姥姥一起度过。
